These Terms of Service (“Terms”) form an agreement between you and Vexor Global Sourcing Ltd. (“Vexor Global,” “we,” “us” or “our”). By accessing or using vexorglobal.org or our services, you agree to be bound by these Terms. If you do not agree, please do not use the site or services.

Vexor Global provides B2B procurement, strategic sourcing, supplier management, logistics, quality assurance and customs-compliance services. The website provides general information about these services. Specific engagements are governed by a separate written agreement, quotation or purchase order, which prevails over these Terms in the event of any conflict.

Information you submit through our quote request and contact forms is used to prepare indicative pricing, lead times and sourcing proposals. Any pricing, availability or lead time provided through the website or in preliminary correspondence is indicative only, non-binding, and subject to confirmation in a formal quotation or contract.

You agree not to:

• Use the site or services for any unlawful or fraudulent purpose;
• Attempt to gain unauthorized access to our systems or data;
• Interfere with or disrupt the integrity or performance of the site;
• Submit false, misleading or infringing information;
• Reproduce, resell or exploit any part of the site without our permission.

The site and its content — including text, graphics, logos, the Vexor brand mark and software — are owned by or licensed to Vexor Global and protected by intellectual-property laws. You may not use our trademarks or content without our prior written consent.

Specifications, bills of materials, pricing and other commercial information exchanged in the course of an engagement are treated as confidential by both parties and used solely to deliver the agreed services, subject to any separate non-disclosure agreement between us.

Fulfilment of procurement requirements may involve third-party suppliers, manufacturers, inspection agencies and carriers. While we vet and manage our network with diligence, goods and services supplied by third parties may also be subject to their own terms, warranties and delivery timelines, as set out in the applicable order documentation.

The website is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted, error-free or secure.

To the maximum extent permitted by law, Vexor Global shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, arising out of your use of — or inability to use — the website. Our liability arising from any specific engagement is governed by the applicable contract.

You agree to indemnify and hold harmless Vexor Global and its officers, employees and agents from any claims, losses or expenses arising out of your breach of these Terms or your misuse of the site.

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Houston, Texas, unless otherwise agreed in a separate contract.

We may update these Terms from time to time. Changes become effective when posted, and the “last updated” date above will be revised. Your continued use of the site after changes are posted constitutes acceptance of the revised Terms.
